These Terms of Use apply to your use of Whispers and any related software or websites provided by Southwind AI, Inc. By using Whispers, you agree to these Terms, which form a legal agreement between you and Southwind AI, Inc.

If you reside in the European Economic Area, Switzerland, or the United Kingdom, different terms may apply based on local law.

We also maintain a Privacy Policy that explains how we handle personal information. It's not part of these Terms, but we encourage you to read it.

Who we are

Whispers is made by Southwind AI, Inc., a U.S.-based startup founded by three engineers. We built Whispers to make working with spreadsheets easier. Instead of writing complex formulas or building pivot tables, you can ask questions about your data in plain natural language. Learn more at https://www.southwind.ai.

Registration and access

Minimum age. You must be at least 13 years old, or the minimum age required in your country, to use Whispers. If you're under 18, you'll need permission from a parent or legal guardian.

Creating an account. To use Whispers, you'll need to register with accurate information. You're responsible for your account activity and may not share your login. If you're signing up on behalf of another person or organization, you must have the authority to accept these Terms on their behalf.

Using our Services

What you can do. As long as you comply with these Terms, you may use Whispers in accordance with any applicable usage policies or documentation we provide.

What you cannot do. You may not:

  • Violate any laws or infringe others' rights
  • Copy, sell, or distribute any part of our service
  • Attempt to reverse engineer or uncover the underlying technology
  • Automatically extract data or outputs from Whispers
  • Claim outputs were written by a human if they were not
  • Try to bypass any usage limits or protective measures
  • Use Whispers to build a competing product

Software

We may offer downloadable software that updates automatically. Some software may include open source components, which are governed by their own licenses.

Corporate accounts

If you register with an email owned by an organization (e.g. your employer), your account may become part of that organization's business account. If so, we'll let you know. The organization may then manage or restrict your access.

Third-party services

Whispers may use or integrate with third-party tools or services. These are subject to their own terms, and we are not responsible for how they work. If we integrate a third-party service that affects how you use Whispers, we'll let you know.

Feedback

We welcome feedback and suggestions. By submitting feedback, you allow us to use it without restriction or compensation.

Intellectual property

Southwind AI, Inc. and its affiliates own all rights to Whispers and related services. You may only use our name and logo in accordance with our Brand Guidelines.

Paid accounts

Billing. If you purchase a paid plan, you must provide valid billing information. Subscriptions automatically renew unless canceled. We may charge taxes where required. If a payment fails, we may suspend or downgrade your account.

Service credits. Some services may be available through prepaid credits, which are subject to our Service Credit Terms.

Cancellation. You can cancel your subscription at any time through your account settings. Payments are non-refundable except where required by law.

Price changes. We may change prices from time to time. If we raise subscription fees, we'll give you at least 30 days' notice before your next renewal. You can cancel if you don't agree to the new price.

Account suspension and termination

Termination. You can stop using Whispers at any time. We may suspend or close your account if:

  • You violate these Terms or our usage policies
  • We're required to by law
  • Your use poses risk or harm to others

We may also close inactive accounts (with no paid plan) that haven't been used for over a year. If so, we'll notify you first.

Appeals. If you believe your account was suspended or terminated in error, contact us at [email protected].

Discontinuation of services

We may decide to shut down Whispers or remove certain features. If that happens, we'll notify you in advance and issue a refund for any prepaid, unused services.

Disclaimer of warranties

Whispers is provided "as is." To the extent allowed by law, Southwind AI and its affiliates make no warranties — express or implied — including any warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not guarantee uninterrupted service or that any output will be accurate, secure, or complete. You are solely responsible for how you use the service and any outputs it provides. Do not rely on outputs as your only source of information or as a substitute for professional advice.

Limitation of liability

To the extent permitted by law, Southwind AI and its affiliates, licensors, and suppliers are not liable for any indirect, incidental, special, or consequential damages. This includes lost profits or data, even if we were advised that they might occur.

Our total liability under these Terms is limited to the greater of:

  • The amount you paid for the service in the 12 months before the issue arose, or
  • $100

Some jurisdictions do not allow certain limitations. If that applies to you, we will follow the maximum limits permitted by your local law.

Southwind AI's affiliates, licensors, suppliers, and distributors are third-party beneficiaries of this section.

Indemnity

If you're using Whispers on behalf of a business or organization, you agree — to the extent allowed by law — to indemnify and hold harmless Southwind AI, its affiliates, and its team from any claims, costs, or liabilities that arise from your use of the service or your violation of these Terms.

General Terms

Assignment. You may not assign or transfer any rights or obligations under these Terms. We may transfer or assign our rights or obligations to an affiliate, subsidiary, or successor in connection with our business. If that happens, your legal rights as a consumer won't be affected. If you prefer not to continue, you may stop using Whispers at any time.

Changes to these Terms or our Services. We may update these Terms or the service from time to time, including for legal, security, or product development reasons. We'll give you at least 30 days' notice of any material changes that negatively affect your rights. All changes apply going forward. If you don't agree with them, you must stop using Whispers.

Delay in enforcement. If either you or we delay enforcing any part of these Terms, that doesn't waive the right to enforce it later. If any part of these Terms is found to be invalid or unenforceable, the rest still applies.

Trade controls. You agree to follow all applicable trade laws, including export controls and sanctions. You may not use or share Whispers in or for the benefit of restricted countries or parties, or upload content that requires an export license.

Governing law. The laws of the country or state where you reside will apply to these Terms.
